API Terms of Service - Search Service

Please read this Perplexity Search Addendum (this “Addendum”) carefully. This Addendum overrides the agreement between the organization (“Customer”) on whose behalf you are accessing or using Perplexity’s API services and Perplexity AI, Inc. (“Perplexity”), solely with respect to the particular Perplexity Search services listed on Schedule 1 at the end of this Addendum (the “Search Services”).
BY USING THE SEARCH SERVICES: (A) YOU AGREE, ON BEHALF OF CUSTOMER, THAT CUSTOMER ACCEPTS AND IS BOUND BY THIS ADDENDUM; AND (B) YOU REPRESENT AND WARRANT THAT YOU HAVE THE NECESSARY AUTHORITY TO MAKE SUCH BINDING COMMITMENT.
IF YOU DO NOT AGREE TO ANY PART OF THIS ADDENDUM OR DO NOT HAVE THE NECESSARY AUTHORITY DESCRIBED IN THE ABOVE PARAGRAPH, YOU ARE NOT PERMITTED TO USE THE SEARCH SERVICES.

1. INTERPRETATION.
1.1 Definitions. As used in this Addendum, the following capitalized terms shall have the meanings set out below:
1.1.1 “Search Data” means Input and Output.
1.1.2 “Agreement” means the applicable agreement between Customer and Perplexity governing Customer’s access to, and use of, Perplexity’s API services. For clarity, depending on the identity of Customer, the Agreement may be the Perplexity API Terms of Service available at perplexity.ai/hub/legal/perplexity-api-terms-of-service, or it may be a different agreement (including any amendments, order forms or statements of work) entered into between Customer and Perplexity.
1.1.3 “AUP” means Perplexity’s Acceptable Use Policy, available at perplexity.ai/hub/legal/aup.
1.1.4 “Authorized Users” means personnel accessing Perplexity’s API platform on behalf of Customer.
1.1.5 “Input” means information, documents, attachments and other materials submitted to a Search Service by Customer or end users of a Customer application that uses the applicable Search Service.
1.1.6 “Output” means responses returned by the applicable Search Service in response to Input.
1.1.7 “DPA” means the data processing addendum or data processing agreement applicable to Customer’s use of the Services.
1.1.8 “Parties” means Customer and Perplexity.
1.2 Relationship between this Addendum and the Agreement.
1.2.1 Agreement Remains Effective. The Agreement governs Customer’s and its Authorized Users’ use of the Services generally, such that, for clarity, all restrictions and obligations applicable to Customer’s use of the Services (e.g., the AUP) set out in the Agreement also apply to the Search Services. References in the Agreement to “this Agreement” shall, with respect to matters relating to the Search Services, be deemed to mean “this Agreement and the Perplexity Search Addendum”.
1.2.2 Effect of this Addendum. This Addendum supplements the Agreement solely with respect to the Search Services. To the extent there is any conflict or inconsistency between the Agreement and this Addendum with respect to the Search Services, this Addendum shall take priority. For clarity: (i) the Search Services are separate from Perplexity’s other products and services (including the ‘Sonar’ APIs); (ii) the Search Services were not among the subject matter of the Agreement when it was originally entered into; and (iii) except for obligations expressly set out in this Addendum, any Perplexity obligations in the Agreement applicable to its other products and services (e.g., update, upgrade and/or zero data retention obligations) do not apply to the Search Services. Accordingly, and notwithstanding anything to the contrary in the Agreement, each Party agrees that a mutually signed agreement shall not be necessary for this Addendum to be deemed effective and binding with respect to Search Services.
1.2.3 Changes. Perplexity may update this Addendum from time to time, including in connection with the launch of new Search Services, with such updates becoming effective upon notice to the Customer (which notice may be in the form of a pop-up on Perplexity’s API platform). By continuing to access or use the Search Services after receiving notice of an update to this Addendum, Customer agrees to be bound by the revised Addendum. For clarity, this update mechanism shall apply notwithstanding anything to the contrary in the Agreement.
2. USE OF THE SEARCH SERVICES.
2.1 Service-Specific Terms. Each of the Search Services is subject to the applicable additional terms set forth in Schedule 1, below.
2.2 Data Use. Perplexity may retain, copy, distribute and otherwise use Search Data for its lawful business purposes, including the improvement and development of products and services. Search Data is not Customer’s Confidential Information; provided that Perplexity may not publicly associate Customer with any Search Data or otherwise publicly identify Customer as a user of the Search Services.
2.3 Personal Data. Customer shall not submit Personal Data (as defined in the DPA) to the Search Services unless explicitly authorized by Perplexity in writing (for clarity, excluding authorizations already included in the Agreement).
3. FEES. Unless otherwise agreed by the Parties in a written order form or amendment that expressly refers to the Search Services: (a) Customer’s access to the Search Services will be subject to Perplexity’s standard fees for the Search Services, as set out at https://perplexity.coolkeypoint.com/__p/docs.perplexity.ai/getting-started/pricing and in accordance with the payment details at perplexity.ai/account/api.
4. DISCLAIMERS; LIMITATION OF LIABILITY.
4.1 THE SEARCH SERVICES ARE PROVIDED “AS IS” AND WITHOUT WARRANTIES OF ANY KIND. PERPLEXITY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, NONINFRINGEMENT OR FITNESS FOR A PARTICULAR PURPOSE. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, PERPLEXITY MAKES NO REPRESENTATION OR WARRANTY THAT THE SEARCH SERVICES SHALL BE ERROR-FREE OR SECURE, THAT DEFECTS SHALL BE CORRECTED OR THAT ACCESS TO THE SERVICES SHALL BE UNINTERRUPTED. NO ENHANCED SECURITY OBLIGATIONS, SERVICE LEVELS, UPTIME GUARANTEES OR OTHER PERFORMANCE COMMITMENTS OFFERED OR AGREED IN RESPECT OF PERPLEXITY’S OTHER PRODUCTS AND SERVICES (INCLUDING THE SONAR APIS) APPLY TO THE SEARCH SERVICES.
4.2 DUE TO THE SEARCH SERVICES’ USE OF PUBLIC INFORMATION FROM THE INTERNET, OUTPUT MAY CONTAIN INCORRECT, BIASED OR OTHERWISE PROBLEMATIC INFORMATION. CUSTOMER IS RESPONSIBLE FOR VERIFYING THE ACCURACY OF OUTPUTS, INCLUDING BY REVIEWING SOURCES CITED IN OR IN CONNECTION WITH OUTPUTS, AND SHOULD NOT RELY ON THE SEARCH SERVICES OR ANY OUTPUT FOR ADVICE OF ANY KIND, INCLUDING MEDICAL, LEGAL, INVESTMENT, FINANCIAL OR OTHER PROFESSIONAL ADVICE. ANY OUTPUT IS NOT A SUBSTITUTE FOR ADVICE FROM A QUALIFIED PROFESSIONAL.
4.3 EXCEPT IN CASE OF FRAUD OR VIOLATION OF THE AUP, TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, (I) IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR SPECIAL, INCIDENTAL, CONSEQUENTIAL OR OTHER INDIRECT DAMAGES ARISING OUT OF OR RELATING TO A SEARCH SERVICE, INCLUDING WITHOUT LIMITATION ANY LOST PROFITS OR BUSINESS, REGARDLESS OF THE FORESEEABILITY OR ANY NOTICE OF SUCH DAMAGES AND REGARDLESS OF THE THEORY OF LIABILITY; AND (II) THE TOTAL AGGREGATE LIABILITY OF PERPLEXITY ARISING OUT OF OR RELATED TO A SEARCH SERVICE SHALL NOT EXCEED THE AMOUNTS PAID BY CUSTOMER TO PERPLEXITY FOR USE OF THAT SEARCH SERVICE IN THE 12 MONTHS PRIOR TO THE FIRST DATE OF THE EVENT OR CIRCUMSTANCE GIVING RISE TO THE LIABILITY, REGARDLESS OF THE THEORY OF LIABILITY.
5. TERM; TERMINATION.
5.1 Term. This Addendum shall be coterminous with the Agreement.
5.2 Effect of Termination. Termination or expiration of this Addendum shall be without prejudice to any rights which shall have accrued to the benefit of a party prior to such expiration or termination. Sections 2.1, 2.2, 3, and this Section 4 survive any expiration or termination of this Addendum.
